End User License Agreement (EULA)

LICENSOR: Santacroce SL, CIF B13886775, Madrid, Spain
LICENSEE: The individual or entity that has purchased a license to use the Software ("You")
PLEASE READ THIS AGREEMENT CAREFULLY BEFORE USING THE SOFTWARE. BY INSTALLING, COPYING, OR OTHERWISE USING QVAULT, YOU AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT.
1. Definitions
- "Software" means the Qvault desktop application, including all updates, patches, and documentation.
- "License Key" means the unique alphanumeric code provided upon purchase that activates the Software.
- "License Term" means one (1) year from the date of activation, unless otherwise specified.
- "Authorized Device" means a personal computer or workstation on which the Software is activated.
2. Grant of License
Subject to the terms of this Agreement and upon valid purchase, the Licensor grants you a:
- Non-exclusive license — we may grant similar licenses to others;
- Non-transferable license — you may not transfer, assign, or sublicense your rights;
- Limited license to install and use the Software on up to two (2) Authorized Devices simultaneously during the License Term.
3. Restrictions
You shall NOT:
- Copy, distribute, or make the Software available to third parties;
- Modify, adapt, translate, or create derivative works based on the Software;
- Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Software;
- Remove, alter, or obscure any proprietary notices, labels, or marks;
- Use the Software for any unlawful purpose;
- Share, publish, or disclose your License Key to any third party;
- Circumvent or attempt to circumvent any license verification mechanisms;
- Use the Software in a service bureau, time-sharing, or SaaS arrangement for the benefit of third parties.
4. Ownership and Intellectual Property
The Software is licensed, not sold. Santacroce SL retains all right, title, and interest in the Software, including all intellectual property rights. This Agreement does not convey any ownership rights to you. All trademarks, logos, and service marks displayed in the Software are the property of their respective owners.
5. License Activation and Validation
- The Software requires online activation using your License Key. Activation associates the license with a hashed identifier of your device.
- The Software periodically validates the license with our servers. An active internet connection is required for validation.
- An offline grace period of seven (7) days is permitted. If the Software cannot reach the license server for more than 7 days, the license will be deactivated until connectivity is restored.
- You may deactivate a license on one device and reactivate it on another, within the maximum device limit.
6. Term and Renewal
This license is valid for the License Term specified at purchase (typically one year). At the end of the License Term, the license will expire and the Software will revert to limited functionality. You may purchase a new license to continue using the full features of the Software.
7. Warranty Disclaimer
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Without limiting the foregoing, the Licensor does not warrant that:
- The Software will detect all personally identifiable information in all documents;
- Redaction results will be complete, accurate, or error-free;
- The Software will be uninterrupted or free of bugs or security vulnerabilities.
YOU ACKNOWLEDGE THAT THE SOFTWARE IS A TOOL TO ASSIST IN PII DETECTION AND REDACTION, AND THAT HUMAN REVIEW OF ALL RESULTS IS ESSENTIAL. THE LICENSOR IS NOT RESPONSIBLE FOR ANY PII THAT IS NOT DETECTED OR NOT PROPERLY REDACTED.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- THE LICENSOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES;
- THE LICENSOR'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SOFTWARE LICENSE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM;
- THE LICENSOR SHALL NOT BE LIABLE FOR ANY LOSS, DAMAGE, OR LEGAL PROCEEDINGS ARISING FROM THE FAILURE OF THE SOFTWARE TO DETECT OR REDACT ANY INFORMATION.
9. Termination
- This Agreement is effective until terminated.
- The Licensor may terminate this Agreement immediately if you breach any of its terms.
- Upon termination, you must cease all use of the Software and delete all copies from your devices.
- You may terminate this Agreement at any time by uninstalling the Software and destroying all copies.
- Sections 4, 7, 8, and 11 survive termination of this Agreement.
10. Export Compliance
The Software may contain cryptographic functionality subject to export regulations. You agree to comply with all applicable export laws and regulations and not to export or re-export the Software to any prohibited country or individual.
11. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of Spain and the European Union, without regard to conflict of laws provisions. Any disputes shall be subject to the exclusive jurisdiction of the courts of Madrid, Spain.
12. Entire Agreement
This Agreement, together with the Terms of Service and Privacy Policy, constitutes the entire agreement between you and Santacroce SL with respect to the Software and supersedes all prior agreements, understandings, and communications.
